I'm a transactional attorney at BrownWinick. I represent businesses and their owners in a variety of different spaces, ranging from agriculture, manufacturing, construction and real estate development all the way to emerging technology, software as a service (SaaS), venture capital and financial services. The diversity of the clients I work for and the issues they present me with make me well-equipped to provide you practical legal advice on all matters pertaining to your business.

My specific expertise is in structuring, negotiating and documenting merger and acquisition (“M&A”) transactions. In the past few years, I've served as lead or associate counsel on a variety of M&A transactions, ranging in value from $5,000 to over $100 million. I've also assisted with the drafting of numerous partnership agreements, operating agreements, buy-sell agreements, partner buy-out agreements, joint venture agreements, asset purchase agreements and stock purchase agreements. In summary, I stick by my clients as their transactional attorney every step of the way, helping them plan for and assess business opportunities and transactions throughout the enterprise life cycle, from formation and operations through transition by succession, sale or dissolution.

I'm also uniquely well-experienced in drafting aircraft ownership and operating agreements (including aircraft dry leases), which makes me one of the few Iowa-based lawyers capable and ready to assist you with legal matters pertaining to your aircraft.

My Approach

I take your interests personally and will fight for you in the trenches on important issues with respect to any given transaction. With that being said, my legal strategy always takes into consideration the main reason you hired me: to close your deal as efficiently as possible while protecting your interests at the same time. My ability to identify and control items that are important and provide you the most value as opposed to those items that provide you very little practical benefit is my greatest asset to you. While I take your interests personally, I also take your successes personally; there's no better feeling for me than watching my clients and their businesses close deals and flourish.  

More About Me

I received my undergraduate education at Creighton University's Heider College of Business, where I graduated, magna cum laude. I then walked across the Creighton “mall” and attended Creighton University's School of Law, where I received my J.D., magna cum laude. Having grown up with a lawyer for a parent, a desire to help people and a fascination with business, a legal career with a business focus was always my dream.

In law school, I was appointed the Research Editor of the Creighton Law Review. I was also awarded multiple academic excellence awards for receiving the highest grade in the class in Taxation of Business Enterprises, Business Associations, Professional Responsibility, Property, Legal Research and Writing, Civil Procedure and Environmental Law.

Prior to joining the BrownWinick, I obtained a diverse legal background working as law clerk for Union Pacific Railroad Company's real estate group, a summer associate for Abrahams Kaslow & Cassman LLP in Omaha, NE and as a clerk for Welsh & Welsh PC, LLO.

I am admitted to practice law in the State of Iowa. I am a member of the Iowa State Bar Association and the National Business Aviation Association (NBAA).
